Terms of Service

The agreement between Pipeworks and the contracting companies that use it. Short version: your pricing, your customers, and your proposals stay yours, and you are responsible for the numbers and promises you put in front of a homeowner.
1. Agreement to These Terms
Welcome to Pipeworks. These Terms of Service ("Terms") are a legal agreement between Pipeworks Group LLC ("Pipeworks," "we," "us," or "our") and you, and govern your access to and use of the Pipeworks mobile application, web application, website, and related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
If you use Pipeworks on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms. If your organization has signed a separate written agreement with us covering the Service, that agreement controls where it conflicts with these Terms.
2. Description of the Service
Pipeworks is a cloud-based software platform designed for contractors and home service businesses. The Service may include features for:
- Creating and presenting customer proposals
- Managing customer information
- Managing equipment catalogs
- Importing pricing data
- Scheduling appointments
- Uploading documents and photographs
- Managing sales workflows
- Generating reports
- Other features we make available from time to time
We may modify, improve, suspend, or discontinue any part of the Service at any time. If we make a change that materially reduces core functionality your organization relies on, we will give reasonable notice.
3. Accounts
Pipeworks accounts are created and managed by authorized administrators. There is no public sign-up.
You agree to:
- Provide accurate information when requested.
- Keep your login credentials confidential.
- Notify us promptly of unauthorized account access.
- Be responsible for activities occurring under your account.
Administrators are responsible for managing users within their organization, including granting and revoking access. Roles carry different permissions, and you agree not to attempt to access data or functions outside the role you have been granted.
4. Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law.
- Access accounts or information you are not authorized to access.
- Upload malware or malicious code.
- Attempt to interfere with the security or operation of the Service.
- Reverse engineer, decompile, or attempt to extract source code except where permitted by law.
- Circumvent security measures or access controls.
- Probe, scan, or test the security of the Service without our written permission.
- Use automated systems to scrape or copy Pipeworks data without our written permission.
- Resell, sublicense, or provide the Service to a third party as a service of your own.
- Use the Service to distribute unlawful, fraudulent, defamatory, or infringing content.
- Use the Service to send unsolicited bulk email.
We reserve the right to suspend or terminate accounts that violate these Terms, and to suspend access where necessary to protect the Service, our other customers, or the security of data we hold.
5. Customer Data
Your organization retains ownership of all customer information, proposals, photographs, documents, equipment catalogs, pricing information, and other content uploaded to Pipeworks.
You grant Pipeworks a limited, non-exclusive license to store, process, transmit, display, and back up your content solely for the purpose of providing, maintaining, securing, and improving the Service.
We do not claim ownership of your business data. We do not sell it. We do not use customer data for purposes outside providing and improving the Service without your permission.
6. Processing Your Customers' Personal Information
Where the Service holds personal information about your customers, you are the controller of that information and Pipeworks is your service provider and processor. The subject matter is the provision of the Service; the duration is the term of your subscription; the nature and purpose are as described in Section 2; the types of data and categories of individuals are as described in our Privacy Policy.
With respect to that information, Pipeworks:
- Processes it only on your documented instructions, which these Terms and your use of the Service constitute, and as required by law.
- Does not sell it, and does not share it for cross-context behavioral advertising.
- Does not retain, use, or disclose it for any purpose other than performing the Service, or outside the direct business relationship between us, except as permitted by law.
- Does not combine it with personal information received from another source, except as needed to perform the Service.
- Binds its personnel to confidentiality, and imposes these same obligations on any subprocessor it engages.
- Provides reasonable assistance in responding to a request from one of your customers to access, correct, or delete their information, and in meeting your security-incident notification obligations.
- Deletes or returns that information at your request or on termination, subject to the limits described in the Data Retention section of the Privacy Policy and to any retention required by law.
Pipeworks understands these restrictions and will comply with them. You may take reasonable and appropriate steps to confirm that we are doing so.
Telling your customers is your job, not ours. You decide what customer information goes into the Service. You are responsible for providing any notice, obtaining any consent, and honoring any privacy request required by the laws that apply to you. Pipeworks has no relationship with your customers and no way to reach them.
7. Proposal Accuracy and Your Responsibilities
Pipeworks provides tools to assist in creating proposals and managing business information. Every price, margin, labor rate, equipment cost, financing plan, rebate, and line of proposal language in the Service is set by your organization. We do not set your prices, verify your costs, or review what a proposal says.
You are solely responsible for reviewing:
- Proposal pricing
- Labor calculations
- Equipment selections
- Taxes
- Discounts
- Warranties
- Customer information
- Final proposal documents
Pipeworks does not guarantee that proposals, calculations, estimates, or pricing generated through the Service are accurate, complete, or suitable for any particular purpose.
You are also responsible for:
- Your own legal terms. Any contract terms and conditions attached to a proposal are yours. Pipeworks does not supply them, review them, or advise on them.
- Signature and contracting compliance. Where you use the Service to have a customer sign a proposal, you are responsible for meeting the electronic signature, disclosure, and cancellation requirements that apply to your trade and jurisdiction.
- Licensing and trade compliance for the work you sell and perform.
- Device security, including controlling who can use a device that is signed in to the Service.
A proposal, estimate, or contract produced with the Service is an agreement between you and your customer. Pipeworks is not a party to it. We do not guarantee any sale, any price, any financing approval, or any outcome, and we have no responsibility for the performance of work you sell.
The Service displays financing plans and calculates estimated monthly payments from the plan terms your organization enters. It does not originate credit, submit credit applications, obtain approvals, or process payments. Any financing is a separate matter between your customer and a lender. Nothing in the Service is legal, tax, or financial advice.
8. Photos and Uploaded Files
You may upload photographs, spreadsheets, documents, and other files through the Service.
You represent that you have the necessary rights and permissions to upload any content submitted to Pipeworks, including permission to photograph a customer's property.
You agree not to upload content that:
- Violates another person's rights.
- Contains unlawful material.
- Contains malicious software.
- Infringes copyrights or trademarks.
9. Intellectual Property
Pipeworks and all related software, designs, graphics, trademarks, logos, documentation, and technology are owned by Pipeworks Group LLC or its licensors and are protected by intellectual property laws.
Except as expressly permitted by these Terms, you may not:
- Copy the Service.
- Modify the Service.
- Distribute the Service.
- Sell or sublicense the Service.
- Create derivative works.
- Reverse engineer the Service except where prohibited by law.
If you send us feedback or suggestions, we may use them without obligation to you.
10. Privacy
Your use of Pipeworks is also governed by our Privacy Policy, which describes how we collect, use, and protect information, and which forms part of these Terms.
By using the Service, you acknowledge that you have read our Privacy Policy.
11. Third-Party Services
Pipeworks may integrate with third-party products and services, including where you connect your own Google or Microsoft work email account so that proposals send from your own address.
We are not responsible for the availability, security, or practices of third-party services. Your use of those services is governed by their own terms and privacy policies, and a change on their side may affect features that depend on them.
12. Availability
We strive to keep Pipeworks available at all times. However, we do not guarantee uninterrupted or error-free operation.
The Service may become temporarily unavailable due to:
- Scheduled maintenance
- Software updates
- Network failures
- Security incidents
- Circumstances beyond our reasonable control
13. Subscription and Payment
Certain features of Pipeworks may require a paid subscription. Fees, billing frequency, and subscription term are as agreed in writing with your organization.
By purchasing a subscription, you authorize us or our payment processor to charge the applicable fees. Subscriptions may automatically renew unless canceled before the renewal date. Unless agreed otherwise, fees are payable in advance, are non-refundable except where required by law, and are exclusive of taxes. We may change fees on notice, effective at your next renewal.
Failure to maintain an active subscription may result in suspension or limitation of access to the Service.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIPEWORKS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
WE DO NOT GUARANTEE THAT THE SERVICE WILL OPERATE WITHOUT INTERRUPTION, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE WILL MEET YOUR PARTICULAR BUSINESS REQUIREMENTS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIPEWORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
THIS INCLUDES LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF CUSTOMER DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL.
OUR TOTAL LIABILITY ARISING FROM THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- THE AMOUNT PAID BY YOU TO PIPEWORKS DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS (US $100).
These limits do not apply to liability for fraud or willful misconduct. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold harmless Pipeworks and its owners, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, and expenses arising from:
- Your use of the Service.
- Your violation of these Terms.
- Your violation of applicable law.
- Your infringement of another person's rights.
- Content you upload to the Service.
- The work you sell or perform for your customers.
17. Termination
These Terms apply for as long as your organization uses the Service. Either party may terminate as set out in your subscription agreement, or, if there is none, on thirty days' written notice.
We may suspend or terminate access to the Service at any time if:
- You violate these Terms.
- Continued access presents a security risk.
- Required by law.
- Necessary to protect the Service or other users.
- Your subscription is unpaid.
Upon termination, your right to use the Service immediately ends. You may request an export of your data before termination, and, for a reasonable period afterward, request that we delete it. See the Data Retention section of the Privacy Policy for how deletion works in practice.
Sections that by their nature should survive termination — including Customer Data, Processing Your Customers' Personal Information, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law — survive.
18. Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.
Any legal action relating to these Terms or the Service shall be brought in the state or federal courts located in the Commonwealth of Virginia, and both parties consent to that jurisdiction, unless otherwise required by applicable law.
19. Changes to These Terms
We may update these Terms from time to time.
When material changes are made, we will update the "Last updated" date and post the revised Terms on our website, and where practical give notice through the Service.
Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
20. Severability
If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
21. Entire Agreement
These Terms, together with our Privacy Policy and any additional written agreements between your organization and Pipeworks, constitute the entire agreement regarding your use of the Service.
